Integrated Computer Sales and Services, Inc Terms & Conditions Update for 2020 (Effective 2-25-2020)

Integrated Computer Sales & Service, Inc. (ICS)
- Force Majeure: Except for Client’s obligation to pay fees for Service, Neither ICS nor Client shall be held responsible for any delay or failure in performance under this Agreement arising out of causes beyond its control including, but not limited to, floods, fires, acts of war, terrorist acts, cyber terrorism, hardware and software exploits, negligent employees, DDOS attacks, malware, viruses, ransomware, labor difficulties or shortages, embargoes, inability to obtain materials, equipment or transportation, or components or finished goods, acts of God, acts of the government or regulatory agencies or national disasters.
- Cyber Liability Insurance: During the Term of this Agreement, each Party will maintain, at its own expense, commercial general liability and cyber liability insurance with policy limits of not less than One Million Dollars (US $1,000,000.00) per occurrence. ICS shall also maintain professional liability coverage including errors & omission and system damage & interruption coverage with aggregate limits of not less than Two Million Dollars (US $2,000,000). Client’s insurance shall be primary over ICS’s insurance. Client agrees to waive and to require its insurers to waive any rights of subrogation or recovery they may have against ICS, its agents, officers, directors and employees.
- Traveling to New York City: For all on-site visits to New York City, ICS will add on a $250 travel fee to cover the travel time to and from New York City, plus tolls and parking. Billable on-site time is in addition to this travel fee.
- Anti-ransomware Backup is Mandatory as of April 1st 2020: Due to the risk of ransomware attacks and hackers gaining illegal access to client networks and deleting data backups, as of 4/1/2020 it is mandatory to have an offline Anti-ransomware backup solution on-site at the client location.
- Multifactor Authentication for all Client Windows Server Administrative Accounts is Mandatory as of April 1st 2020 -Due to the risk of client servers and networks being breached by bad actors we are requiring all client administrative accounts to be secured with Multifactor Authentication as of April 1st 2020.
